This Customer License Agreement ("Agreement") governs the use of digital content, software, downloadable products, subscription-based services, and licensed intellectual property made available through GVKART.SHOP, an online marketplace operated by GV Systems Technologies Private Limited. This Agreement applies only where a product or service is provided under a license rather than by transfer of ownership. By purchasing, downloading, activating, installing, or using any licensed product or digital service available on GVKART.SHOP, you agree to be bound by this Agreement.

1. Scope of Agreement

This Agreement applies to software, digital downloads, activation keys, subscriptions, AI services, templates, e-books, digital media, APIs, firmware, and any other product identified as a licensed product on GVKART.SHOP. Physical products purchased through the marketplace are governed by the Terms and Conditions and do not transfer any intellectual property rights unless expressly stated.

2. Grant of License

Upon successful purchase and subject to compliance with this Agreement, GVKART.SHOP or the respective publisher grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use the licensed product solely for your personal or internal business purposes during the applicable license period.

3. Ownership

All copyrights, trademarks, patents, trade secrets, software code, documentation, designs and other intellectual property remain the exclusive property of GV Systems Technologies Private Limited or the respective product owner. Purchase of a licensed product grants only a right to use the product and does not transfer ownership of the intellectual property.

4. Permitted Use

You may install, access or use the licensed product only in accordance with the product documentation, purchased plan, device limits, user limits and other restrictions communicated at the time of purchase.

5. License Restrictions

You shall not copy, modify, reverse engineer, decompile, disassemble, redistribute, rent, lease, sublicense, sell, publicly share license keys, bypass technical protection measures, or use the licensed product in violation of applicable law or third-party rights.

6. Activation and Verification

Certain products may require online activation, periodic license validation, account authentication, or internet connectivity. Failure to complete verification may result in suspension of licensed functionality until validation is completed.

7. Updates and Support

Where included in your purchase, updates, bug fixes and technical support will be provided for the applicable subscription or maintenance period. Support scope and response times may vary depending on the product and service plan.

8. Refunds

Refunds for licensed products are governed by the Refund and Cancellation Policy. Once a digital product, activation key or license has been delivered or activated, refunds may be restricted except where required by law or expressly stated.

9. Suspension and Termination

The license may be suspended or terminated if you breach this Agreement, misuse the product, engage in fraudulent activity, or violate applicable laws. Upon termination, you must immediately cease use of the licensed product and destroy all permitted copies unless otherwise required by law.

10. Limitation of Liability

To the fullest extent permitted by law, GV Systems Technologies Private Limited and GVKART.SHOP shall not be liable for indirect, incidental, consequential or special damages arising from the use or inability to use licensed products.

11. Governing Law

This Agreement shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of the competent courts at Bengaluru, Karnataka, unless otherwise required by applicable consumer laws.
